Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Cnykra multi-tenant hotel-management platform (the “Services”), provided by Cnykra Technologies, having its principal place of business at B-6, Mukherjee Colony, Shastri Nagar, Jaipur – 302016, Rajasthan, India (“Cnykra”, “we”, “us”). By signing up for or using the Services, you accept these Terms on behalf of yourself and the hotel or business you represent.

1. Parties and acceptance

These Terms are entered into between Cnykra Technologies and the hotel or hospitality business (“Customer”, “you”) that creates an account. Acceptance occurs on signup or, if earlier, on first use of the Services. [CONFIRM: legal entity type of Cnykra Technologies].

2. The Services

Cnykra provides a multi-tenant, cloud-based hotel-management platform, including — depending on your subscription plan — a property-management system (PMS), point-of-sale, a direct-booking engine and website, a channel manager for OTA distribution, a unified WhatsApp inbox with automation and an optional AI chatbot, guest CRM, and GST-compliant billing and reporting tools.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. The hotel owner may invite staff users and is responsible for their conduct on the platform. Notify us promptly at [email protected] of any suspected unauthorised access.

4. Subscription and billing

The Services are offered on a 14-day free trial, no card required. After the trial, continued use requires a paid monthly subscription in Indian Rupees (₹), billed via Razorpay auto-debit, with a GST tax invoice issued for each billing period. Current plans and pricing are published at /pricing. Plan changes take effect from the next billing cycle. [CONFIRM: any proration policy].

5. Acceptable use

You agree not to: use the Services for any unlawful purpose; attempt to reverse-engineer, decompile, or extract source code from the Services; abuse WhatsApp or other messaging integrations to send unsolicited or spam communications; attempt to circumvent per-hotel data isolation or access another hotel’s data; or interfere with the OTA/channel-manager integrations in a way that causes overbooking or breaches a connected platform’s terms.

6. Customer data and DPDP compliance

As between Cnykra and you, you (the Customer/hotel) are the Data Fiduciary for your guests’ personal data, and Cnykra is the Data Processor, processing that data only on your instructions to provide the Services. This relationship is governed by our Data Processing Agreement, annexed to and forming part of these Terms. See also our Privacy Policy for how Cnykra handles account-holder and guest data.

7. Third-party services

The Services integrate with third-party providers, including Razorpay (payments), OTA platforms, and AI model providers (where you connect your own “bring your own key” account). Your use of those integrations is also subject to the relevant third party’s own terms. See our Trademarks notice regarding references to third-party marks.

8. Availability and support

We aim to keep the Services available and responsive, and provide support via [email protected] and in-product support tickets. [CONFIRM: any uptime SLA — none is promised as of this draft, in the trial/pre-production phase].

9. Warranties and disclaimers

Except as expressly stated in these Terms, the Services are provided “as is” and “as available,” to the maximum extent permitted by applicable law.

10. Limitation of liability

To the maximum extent permitted by law, Cnykra’s aggregate liability arising out of or relating to these Terms or the Services is limited to the fees paid by you in the [CONFIRM: cap period, e.g. preceding 3 or 12 months] preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.

11. Term and termination

These Terms remain in effect while you use the Services. Either party may terminate as set out in your plan or by written notice. On termination, you may export your data for a period of [CONFIRM: data export/return window] before it is deleted, subject to statutory retention obligations described in our Privacy Policy.

12. Governing law and dispute resolution

These Terms are governed by the laws of India. Subject to [CONFIRM: governing-law jurisdiction city], the courts of Jaipur, Rajasthan have exclusive jurisdiction over any dispute arising from these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified [CONFIRM: notice method]. Continued use of the Services after a change takes effect constitutes acceptance.
